The RAST conference held at Stanford, December 10-11, 2020 has a special focus on the role of financial reporting and disclosure and its impact on CSR (corporate social responsibility) and ESG (Environmental, Social, and Governance) policies and actions.
Monitoring or Payroll Maximization? What Happens When Workers Enter the Boardroom?
Presented by Martin Thomsen, University of Münster
Professor Martin Thomsen from the University of Münster examines whether worker representatives on corporate boards prioritize their monitoring duties or maximizing payroll when these two objectives conflict. This question is at the heart of the current debate about including workers on corporate boards in the U.S. Worker representatives improve monitoring generally, but when their objectives conflict they prioritize maximizing payroll. His results suggest worker representation on the board likely leads to fewer cuts to pay, fewer layoffs and less offshoring of jobs.
